Minority shareholder oppression
Successful Supreme Court of Victoria proceedings brought on behalf of a director's holding company (the minor shareholder) in circumstances where the majority shareholder would not purchase the minority holding (worth over $3,000,000.00) pursuant to a put option. The Court found that the majority shareholder wrongly failed to purchase the shares.
Successfully represented an executive wrongly terminated from his role as managing director of a major Australian clothing retailer in a breach of contract case in the Supreme Court of Victoria. The employer brought a counterclaim against the executive for breach of fiduciary duty, misuse of company resources, and breach of contract. The counterclaim was successfully and wholly defended.
Represented an executive in Federal Court of Australia proceedings in circumstances where adverse action was allegedly taken by his employer, a major metropolitan emergency services organisation. Settlement was achieved out of court.
